    The agreement between you and Ruwwad LLC governing your use of Raqi.io

    These are the Terms and Conditions ("Terms") governing the use of Raqi.io and the agreement that operates between You (the "User") and Ruwwad LLC (the "Company", "we", "us", or "our"). These Terms set out the rights and obligations of all users regarding the use of Raqi.io and any related services.

    Your access to and use of Raqi.io is conditioned on your acceptance of and compliance with these Terms. By accessing or using Raqi.io, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access Raqi.io.

    Your access to and use of Raqi.io is also conditioned on your acceptance of our Privacy Policy. Please read our Privacy Policy carefully before using Raqi.io.

    "Raqi.io" refers to:

    • The website at raqi.io, including its subdomains and any other website through which the Company makes its Service available.
    • The web application accessible at app.raqi.io.
    • The Application Program Interfaces (API).
    • The Service, including all features, tools, and functionalities.
    • Any applications, content files, source code, scripts, or software included as part of the Service, as well as any related documentation.

    1. Terms of Use

    By using Raqi.io, Users confirm they meet the following requirements:

    • Users represent a business entity or are acting in a professional capacity.
    • Users must be recognized as an adult by applicable law (minimum 18 years of age).
    • Users have the legal capacity to enter into this binding agreement.
    • Users are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist-supporting" country.
    • Users are not listed on any U.S. Government list of prohibited or restricted parties.

    2. Account Registration

    To use the Service, Users must register and create a User account, providing all required data in a complete and truthful manner. Users are responsible for keeping their login credentials confidential and safe. By registering, Users agree to be fully responsible for all activities that occur under their account.

    Conditions for Account Registration

    • Accounts registered by bots or any other automated methods are not permitted.
    • Unless otherwise specified, each User must register only one account per workspace.
    • A User account may not be shared with other persons unless explicitly permitted through workspace member management.

    Account Suspension and Deletion

    The Company reserves the right, at its sole discretion, to suspend or delete at any time and without notice, User accounts which it deems inappropriate, offensive, or in violation of these Terms. The suspension or deletion of accounts shall not entitle Users to any claims for compensation, damages, or reimbursement.

    3. Service Description

    Raqi.io is a Software as a Service (SaaS) omnichannel conversation platform that provides:

    • Unified Inbox:centralized messaging across Instagram, Facebook Messenger, WhatsApp, Telegram, Email, and Web Chat.
    • AI Agents:automated conversational agents powered by artificial intelligence for customer engagement.
    • Workflow Automation:visual workflow builder for automating business processes and message routing.
    • Contact Management:customer relationship management with conversation history and custom properties.
    • Analytics & Reporting:conversation analytics, team performance metrics, and business insights.
    • Content Publishing:scheduled posting to connected social media channels.
    • Ads Studio:AI-powered ad creative generation and management.
    • Integrations:private API, MCP server, and third-party service connections.

    4. Acceptable Use

    Raqi.io and the Service may only be used within the scope of what they are provided for, under these Terms and applicable law. Users are solely responsible for ensuring their use does not violate any applicable law, regulation, or third-party rights.

    The following activities are strictly prohibited:

    • Sending unsolicited bulk messages (spam) through connected channels.
    • Violating the terms of service of connected platforms (Meta, Telegram, etc.).
    • Using the Service to distribute illegal, harmful, threatening, abusive, harassing, defamatory, or objectionable content.
    • Attempting to gain unauthorized access to other users' accounts or data.
    • Using the Service to infringe on intellectual property rights of third parties.
    • Overloading the Service infrastructure or interfering with its operation.
    • Reverse engineering, decompiling, or disassembling any aspect of the Service.
    • Using the Service to train competing AI models or build competing products.
    • Using AI features to generate content that violates applicable laws, including content that is discriminatory, misleading, or harmful.
    • Circumventing any rate limits, usage restrictions, or security measures.

    The Company reserves the right to take any appropriate measure to protect its legitimate interests, including denying Users access to the Service, terminating contracts, or reporting misconduct to competent authorities.

    5. Subscription Terms

    5.1 Free Trial

    Users may have the option to test Raqi.io during a limited and non-renewable trial period at no cost. Some features may not be available during the trial. The trial period shall end automatically and shall not convert into a paid subscription unless the User actively purchases one.

    5.2 Pricing

    Prices for subscription plans are displayed on the Raqi.io pricing page and are subject to change. Unless otherwise specified, prices are displayed exclusive of applicable taxes. The Company will provide reasonable prior notice of any subscription fee changes. Continued use after a fee change constitutes acceptance.

    5.3 Billing and Renewal

    Paid subscriptions are billed in advance on a recurring basis (monthly, quarterly, or annually). Subscriptions are automatically renewed unless cancelled before the renewal date. If automatic billing fails, the Company may suspend access until payment is received.

    5.4 Refunds

    Except when required by law, paid subscription fees are non-refundable. There are no refunds or credits for partial periods of service, upgrade/downgrade refunds, or unused service periods. Certain refund requests may be considered on a case-by-case basis at the Company's sole discretion.

    5.5 Additional Charges

    Users may incur additional charges if usage exceeds their subscription's included limits (e.g., message volumes, AI credits, contacts). Users agree to pay any overage charges at the end of each billing period.

    5.6 Third-Party Fees

    Raqi.io fees are exclusive of any charges that may be assessed by a third party (e.g., Meta, WhatsApp) for access to or use of their messaging services. Such charges are the responsibility of the User.

    6. Intellectual Property

    All intellectual property rights related to Raqi.io, including copyrights, trademark rights, patent rights, and design rights, are the exclusive property of the Company or its licensors. Subject to User compliance with these Terms, the Company grants Users a revocable, non-exclusive, non-sublicensable, and non-transferable license to use the Service within the scope of what Raqi.io provides.

    This license does not grant Users any rights to access, usage, or disclosure of the original source code. All techniques, algorithms, and procedures contained in the software are the Company's sole property.

    7. User Content

    Users retain ownership of all content they upload, share, or provide through Raqi.io. By providing content, Users grant the Company a non-exclusive, royalty-free license to process such content solely for the operation, maintenance, and improvement of the Service.

    Users are solely liable for any content they upload, post, share, or provide through Raqi.io. The Company does not filter or moderate User content but reserves the right to remove content that violates these Terms.

    The Company does not guarantee against loss or corruption of data. Users agree to maintain a complete and accurate copy of any critical content independently of the Service.

    8. API Usage Terms

    Users may access their data via the Raqi.io Application Program Interface (API). Use of the API is bound by these Terms and subject to:

    • Rate limits as specified in the API documentation.
    • Fair use policies. Users shall not use the API to overburden or impair the Service.
    • API keys must be kept confidential and not shared publicly.
    • The Company bears no responsibility for damages resulting from third-party use of the API.

    9. Third-Party Integrations

    Through Raqi.io, Users may connect to external services provided by third parties, including but not limited to Meta (Instagram, Facebook Messenger, WhatsApp), Telegram, Stripe, Shopify, Google Sheets, and others. Users acknowledge and accept that:

    • The Company has no control over third-party services and is not responsible for their content, availability, or policies.
    • Use of third-party integrations is subject to the third party's own terms of service and privacy policies.
    • The Company is not liable for any issues arising from third-party service disruptions, API changes, or policy modifications.
    • Users are responsible for complying with the terms of all connected third-party platforms.

    10. AI Services

    Raqi.io provides AI-powered features including AI agents, automated responses, content generation, and sentiment analysis. Users acknowledge that:

    • AI-generated content may not always be accurate, complete, or appropriate. Users are responsible for reviewing AI outputs before use.
    • AI features are provided "as is" without guarantees of specific outcomes.
    • Conversation data may be processed by third-party AI providers (OpenAI, Anthropic) subject to their data handling policies.
    • The Company does not use User data to train general-purpose AI models. Data is only processed to provide the Service.
    • AI usage may be subject to usage limits based on the User's subscription plan.

    11. Limitation of Liability

    THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES.

    IN NO EVENT SHALL THE COMPANY'S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY THE USER IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

    Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability. In such jurisdictions, the above limitations shall apply to the greatest extent permitted by law.

    12. Indemnification

    You agree to defend, indemnify, and hold harmless Ruwwad LLC, its officers, directors, employees, agents, and affiliates from and against any claims, demands, damages, obligations, losses, liabilities, costs, or expenses (including reasonable legal fees) arising from:

    • Your use of the Service.
    • Your violation of these Terms.
    • Your violation of any third-party rights, including intellectual property rights.
    • Your violation of any applicable law, rule, or regulation.
    • Any content you transmit through the Service.
    • Your willful misconduct.

    13. Service Availability

    The Company reserves the right to interrupt the Service for maintenance, system updates, or other changes. We will make reasonable efforts to inform Users of planned interruptions. The Service may also be unavailable due to circumstances beyond our reasonable control ("force majeure"), including but not limited to natural disasters, infrastructure failures, or third-party service outages.

    14. Termination

    Users may terminate their account at any time through the account settings in Raqi.io or by contacting us at support@raqi.io. However, termination of the account will not be possible until the current subscription period has expired.

    Upon termination, Users may request an export of their data within 30 days. After 30 days, all User data will be permanently deleted from our systems, except where retention is required by law.

    15. Governing Law

    These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law provisions. Any disputes arising from these Terms shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration or the competent courts, as applicable.

    16. Changes to These Terms

    The Company reserves the right to amend or modify these Terms at any time. If changes are material, the Company will provide reasonable prior notice (via email or prominent notice on the Service). Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

    17. Contact & Miscellaneous

    All communications relating to these Terms should be sent to:

    Severability: If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.

    No Waiver: The Company's failure to enforce any right or provision shall not constitute a waiver of such right or provision.

    Assignment: The Company may assign or transfer these Terms without restriction. Users may not assign their rights or obligations without the Company's written permission.

    Entire Agreement: These Terms, together with the Privacy Policy and any applicable order forms, constitute the entire agreement between you and the Company.
